James C. Boland
Director

 

Since 1998, Mr. Boland has served as the President, Chief Executive Officer and Chief Operating Officer of the Cavs/Gund Arena Company.

 

He also formerly served as a Vice Chairman of Ernst & Young LLP, where he was a partner from 1976 to 1998. Mr. Boland is a member of the Board of Trustees of Leadership Cleveland, the Great Lakes Science Center, and Bluecoats, Inc.

 

He is also active in many civic areas and plays a leadership role in many organizations. Mr. Boland serves on the Board of Directors of Sherwin Williams (NYSE: SHW) and Invacare Corporation (NYSE: IVC). Mr. Boland received a BS and BA from John Carroll University, and MA from George Washington University.

 

 

Edward B. Brandon
Director

 

Mr. Brandon retired as Chairman of National City Corporation (NYSE: NCC) in September 1995, where he had been Chairman since September 1987. Previously, Mr. Brandon served as President of the holding corporation and Chairman, President and Chief Executive Officer of the Bank. He retained his position as Chief Executive Officer of National City Bank, Cleveland through April 1989. He is a member of the Board of Directors of National City Corporation and RPM (NYSE: RPM).

 

He is a Life Member of the Board of Trustees of Notre Dame College of Ohio and a board member of The Cleveland Clinic Foundation and John Carroll University. Mr. Brandon is a lifetime member of The Financial Services Roundtable.

 

He has served on numerous community and non-profit boards during his career, including United Way Services, Cleveland Tomorrow, the Greater Cleveland Growth Association, Playhouse Square Foundation, National Conference of Community and Justice, the Musical Arts Association and Saint Vincent Charity Hospital and Health Center. Mr. Brandon received a BS degree in Economics from Northwestern University, and an MBA from Wharton School of Banking and Finance.

 

 

Lee Burdman
Director

 

Mr. Burdman is a partner in Redstone Investments and Vice President of Redstone Construction, Inc., affiliated companies involved in real estate development and management, where he has worked since April 1991. Mr. Burdman was appointed a Director of Sky Bank, Salineville, Ohio in May 2000. Prior to its acquisition by Sky Financial Group, Mr. Burdman served as a Director of Mahoning National Bank, Youngstown, since 1995.

 

He serves on the boards of Temple El Emeth, the Jewish Community Center in Youngstown, the Youngstown State University Foundation, and on the investment and budget committees of the Youngstown Area Jewish Federation. Mr. Burdman has a BS degree in economics from the University of Michigan and an MBA from the Fuqua School of Business at Duke University.

 

 

Michael A. Keresman, III
Chairman of the Board

 

Michael A. Keresman, III is currently the President, Chief Executive Officer and Chairman of the Board of CardinalCommerce. CardinalCommerce's mission is to become the authentication agent allowing individuals, businesses and government agencies to conduct secure and private transactions, and safely access confidential or personal information. The first application of the Company's technology is the development of a safe, secure, private and efficient financial transaction processing system specifically designed for ecommerce.

 

Prior to starting CardinalCommerce, Mr. Keresman was one of the founders at STERIS Corporation in early 1988, holding several senior management positions throughout his tenure. Mr. Keresman held the positions of Senior Vice President, Chief Financial Officer, and Chief Information Officer, as well functioning as the primary operations executive. During his tenure as Chief Financial Officer he was responsible for investor and shareholder relations. STERIS Corporation is the world leader in the marketing, development, and manufacturing of infection and contamination prevention systems, related consumables, accessories and supplies for the worldwide healthcare and scientific markets. STERIS began as a true start up company in April 1987 and currently has annual sales approaching $900 million.

 

STERIS became a public company in June 1992. It had a secondary offering in March 1993 and transferred its public listing to the New York Stock Exchange in December 1998. The success and rapid internal sales growth of STERIS during its first eight years enabled the Company to add new businesses through acquisitions during the last four years to compliment its strong market position.

 

Earlier in his career Mr. Keresman was one of the founders, serving as Chief Financial Officer, of the first and largest statewide HMO network in the country. HealthAmerica of Ohio originated in Cleveland, Ohio and grew from 20,000 members to over 100,000 members in less than three years. HealthAmerica, the parent company of HealthAmerica of Ohio, became a public company during his tenure and, as the financial executive of the largest subsidiaries; he was part of the support team that helped the company achieve its public status.

 

 

Marc H. Morgenstern
Director

 

Mr. Morgenstern is the Founder and Managing Partner of Blue Mesa Partners (co-located in San Francisco and Cleveland) which was formed in 1996 to make private investments in early-stage and emerging growth companies. He serves as Senior Advisor to public and private companies, and their management teams, Boards of Directors, and transactions. He is also a co-founder and Managing Partner of Access Ventures, a committed capital fund created to co-invest in private, venture-stage, technology companies.

 

Prior to focusing entirely on his entrepreneurial activities, until 2007, Mr. Morgenstern was the West Coast leader of the Corporate and Securities practice for Sonnenschein Nath & Rosenthal, and a nationally-known corporate and securities lawyer. Previously, for 15 years he served as the Managing Partner of Kahn Kleinman, a midwest regional law firm. He is a veteran deal maker who has structured, negotiated, and closed hundreds of transactions, including mergers and acquisitions, venture capital, and public and private securities offerings. He is a prolific author of thought-leading business and securities articles.

 

He served as a Director of Mr. Gasket Co. (NASDAQ), was the founding lawyer for OfficeMax, and is a member of the Board of Advisors of Capstone Partners. A long-time board member of the Rock and Roll Hall of Fame and Museum, he has also been on the SEC's Executive Committee for Small Business Capital Formation for more than 20 years. His BA is from Yale University, and his JD is from Boston University.

 

 

Larry I. Pollock
Director

 

Larry Pollock is the President and Chief Operating Officer and a Director of the Cole National Corporation (NYSE: CNJ), owner of Pearle Vision stores and Cole Vision optical stores and Things Remembered personalized gift stores. Together, the two businesses maintain 2,900 locations in the U.S., Canada, the Caribbean, and Europe. Mr. Pollock has been a partner in the Independent Group Limited Partnership and an owner of broadcast properties. He also serves on the Board of Directors of Borders Group Incorporated (NYSE: BGP), which operates Borders Books and Walden Books.

 

Prior to joining Cole National Corporation, Mr. Pollock utilized his management skills in the jewelry and home furnishings industries. From 1997 until it was merged with Waccamaw Corporation in June 1999, he was President and Chief Executive Officer of HomePlace Stores, headquartered in Cleveland, Ohio. He began his professional career in 1969 with J.B. Robinson Jewelers where his last position was President and Chief Executive Officer.

 

From 1990 to 1994, Mr. Pollock was President and Chief Executive Officer of Karten's Jewelers, based in New Bedford, Massachusetts, and for the next two years was President and Chief Operating Officer of Zale Corporation, owner of 1,180 jewelry stores nationwide. Mr. Pollock holds trustee positions with the National Conference for Community and Justice in the Northern Ohio region, the Bellefaire Jewish Children's Bureau, and Menorah Park Center for Senior Living. Mr. Pollock received a BS in marketing/retailing from Ohio State University.

 

 

Bill R. Sanford
Director

 

Mr. Sanford is Founder and Chairman of SYMARK LLC, a technology commercialization and business development organization with offices in Naples, Florida and Mentor, Ohio. Mr. Sanford is also Executive Founder and retired Chairman of the Board, President, and Chief Executive Officer of STERIS Corporation (NYSE:STE), a leading provider of infection prevention, contamination prevention, microbial reduction, and therapy support systems, products, services, and technologies to the healthcare, scientific, research, food, and industrial manufacturing markets around the world.

 

Mr. Sanford is an experienced entrepreneur, executive, consultant, investor, and board member with extensive early-stage and emerging growth company, turnaround, senior management, and market development experience. Mr. Sanford’s business career has focused on the development and marketing of healthcare and scientific products, health services, and advanced information systems.

 

Mr. Sanford serves as a board member and advisor to numerous public and private enterprises, including KeyCorp, The Cleveland Clinic Foundation, Case Western Reserve University, Wilson Greatbatch Technologies, Inc., BIOMEC, Primus Venture Partners, SupplierInsight, Kansas State University Research Foundation, and several early-stage technology companies. He is Chairman of the Northeast Ohio Regional Technology Coalition, Vice Chairman of the EdisonBiotechnology Center, a member of the State of Ohio Technology Action Board, and a Fellow of the American Institute for Medical and Biological Engineering (AIMBE).
