Michael A. Keresman, III

Michael Keresman, III is the CEO, President and Chairman of CardinalCommerce Corporation, the global leader in enabling authenticated payments, secure transactions, and alternative payment brands for both eCommerce and mobile commerce. CardinalCommerce has consistently been recognized for its leadership and innovation in the eCommerce and mobile commerce channels by various industry leaders, including Frost and Sullivan.
Keresman has consistently utilized his expertise and knowledge to grow CardinalCommerce from a start-up company to the worldwide leading enabler of payment brands. He has helped create a new industry with a global reach with operations in Europe, Africa, North and South America, and distributions in Asia and Australia. Under his direction, CardinalCommerce has developed strategic partnerships with various payment brands including Visa, MasterCard, Amazon Payments, BillMeLater, Google, and PayPal, as well as merchant service providers/processors such as Chase, CyberSource, Fifth Third, First Data and others. Keresman’s success with CardinalCommerce earned him recognition as one of Ernst & Young’s Entrepreneurs of the Year in 2004 and 2005.
Before founding CardinalCommerce, Keresman was one of the earliest employees an co-founder at STERIS Corporation (NYSE: STE), holding several senior management positions from 1988 to 1999, including Senior Vice President, CFO, and CIO, as well as the primary operations executive. STERIS is the world’s pre-eminent infection prevention, decontamination, and surgical and critical care company, and is a global leader in infection prevention, contamination control, and surgical and critical care technologies. While at STERIS, Keresman held several senior management positions from 1988 to 1999, including Senior Vice President, CFO, and CIO, as well as the primary operations executive. During his tenure as CFO, he was responsible for investor and stockholder relations.
In 1981, Keresman was an early employee and the CFO of HealthAmerica of Ohio. In his role he helped to establish the first statewide HMO network in the country. His leadership and dedication helped to grow HealthAmerica of Ohio more than 500% in less than three years. HealthAmerica became a publicly traded company during Keresman’s tenure and, as the financial executive of the largest subsidiary, he was part of the support team that helped the company through the initial public offering. Between his tenures at STERIS and HealthAmerica, Keresman held senior management positions at International HealthCare, Inc. (IHC) and Western Reserve Health Plan.
Keresman graduated from John Carroll University with a BSBA in Finance. He is on the Board of Directors for The Secure Remote Payment Council while concurrently serving as a member of the Lake Erie College Board of Directors, where he serves on the Finance and Assets and Institutional Advancement Committees. He is married and a proud father of three daughters.

Chandra Balasubramanian
Co-Founder, Executive Vice President and CTO

Prior to co-founding the Company in April, 1999 as its Vice President and Chief Technology Officer, Mr. Balasubramanian was, from February 1998 to 1999, co-founder and Division Manager of QIS/Live TechSolutions, a company which develops, markets and supports web-based solutions to enhance workplace productivity and retail as well as business-to-business eCommerce.
In his role as Division Manager of QIS/Live TechSolutions, Mr. Balasubramanian managed multiple eCommerce related projects and managed new product development. Mr. Balasubramanian also served as technical consultant for PMH Caramanning, Inc. from July 1997 to February 1998 and served as a technical consultant for the Hong Leong Bank from September 1995 to July 1997 and AIT Sdn Bhd from October 1996 to July 1997.
He began his career as a Senior System Analyst/Programmer for Innovation Software Exports Ltd in Madras, India from May 1993 to August 1993. Mr. Balasubramanian has a Bachelor of Commerce degree from the University of Madras (India), and he also holds an Advanced Diploma in Systems Management from the National Institute of Information Technology and is a Microsoft Certified Professional.

Francis M. "Tim" Sherwin
Co-Founder and Executive Vice President

Prior to co-founding the Company, Mr. Sherwin was the Senior Vice President of Business Development at QIS, an information technology and Internet services firm from 1998 to 1999. His background focuses on strategy, operations, information technology and financial management.
Mr. Sherwin spent a year-long engagement as Project Manager for the worldwide implementation of the Oracle Applications at Invacare Corporation from 1997 to 1998 while employed by Norstan Consulting. The primary focus of this project was to develop a sound and streamlined system for processing all financial transactions.
Prior to Norstan, Mr. Sherwin spent five years, from 1992 to 1997, at STERIS Corporation as Controller of the North America division, and managed all related financial transaction processing for the division. Mr. Sherwin has a BA in Business from Wittenberg University and an MBA in Finance from Case Western Reserve's Weatherhead School of Management.

Christopher G. Brown
Chief Financial Officer

Prior to his role as CFO, Mr. Brown most recently held the position of Director of Finance at CardinalCommerce from January 2003 to December 2005.
Prior to joining Cardinal, Mr. Brown managed a venture portfolio for a hedge and venture fund in Cleveland, Ohio. In addition to performing due diligence and making investment decisions, he supported portfolio companies' internal financial needs including budget planning and management reporting. Mr. Brown has technology and startup experience gained as a founding member of the dotcommery, a digital business accelerator. He also has extensive financial and analytical background starting his career in consulting with Mercer and Buck Consultants.
Mr. Brown has a BA (Honors) in economics and history from Queen's University in Ontario, Canada, and completed his MBA at Massachusetts Institute of Technology's Sloan School of Management.

Chuck Diulus
Vice President of Merchant Sales

Chuck Diulus is Vice President of Merchant Sales and is responsible for overseeing the Centinel Sales teams for Market, Client and Merchant Services. Mr. Diulus has more than 20 years of experience in Acquiring, Issuing, and EFT solutions for financial Institutions and retailers, and brings a vast knowledge of the banking and retail industries, as well as cross-functional Sales and Marketing Management experience to CardinalCommerce.
Prior to CardinalCommerce, Mr. Diulus held a variety of executive Sales and management positions, specializing in IT, financial services, and software businesses. He has extensive Sales experience with eCommerce related solutions, as well as Business to Business, Fortune 500 retailers, and manufacturers and repeatedly exceeded Sales forecasts throughout his career.
Mr. Diulus holds a B.S. in Business Logistics from The Pennsylvania State University with an emphasis in International Business and a minor in Spanish. He currently lives in Mentor, OH with his wife and two children

Janet L. Kapostasy
Vice President Financial Institution Services

Prior to joining the Company in 2006, Ms. Kapostasy was a Senior Vice President, and the Chief Financial Officer for the Technology and Operations Business Unit at the National City Corporation, from 2000 through 2005. National City is one of the 10 largest Banks in the United States. During her tenure she was an active participant in technology investment decisions, and in strategic planning for the organization.
She joined the STERIS Corporation as Corporate Controller in 1995 and continued in that capacity until 2000. In this role Ms. Kapostasy oversaw financial and operational controls, financial systems and reporting for a company that was growing rapidly, organically and through acquisition.
In 1990, Ms. Kapostasy joined Peoples Savings Bank, as a Senior Vice President of Finance, then a subsidiary of the holding company that would become First Merit. She was quickly promoted to Chief Financial Officer and Senior Vice President of Operations. In this capacity she had wide ranging responsibility for many aspects of running a successful bank including management of a mortgage banking company.
Ms. Kapostasy has a B.A. in Business Management, a B.A. in Accounting, an EMBA in International Business from Case Western Reserve's Weatherhead School of Management, and is a Certified Public Accountant.

Phillip C. Romano
Vice President of Operations

Mr. Romano is currently the Vice President of Operations for CardinalCommerce Corporation with overall responsibility for technology deployment, system operations management, and system and service support. He has over twenty years experience as a management professional with a primary focus on Information Technology implementations, system conversions, and complex integration projects.
Prior to his role at CardinalCommerce, Mr. Romano was the Director of Technology Services for Digitant Group (2001 - 2002), an information technology-consulting firm. His responsibilities included technology solution development, deployment, and service support.
As the Director of Business Support Systems for STERIS Corporation (1989 - 2000), he was responsible for business system software, application development, and global management of enterprise systems. He spearheaded the effort to consolidate business system operations resulting from 12 major acquisitions that included a company five times the size of STERIS. This involved major system conversions in 8 countries, and the effort directly supported sales and service operations in over 50 countries. As Director of Information Systems, Mr. Romano successfully led the conversion of the financial and manufacturing systems to Oracle-based solutions to posture the organization for rapid growth.
Mr. Romano also served as an officer in the U.S. Navy on both active and reserve duty. He is a graduate of John Carroll University, and he holds an MBA (Information Systems) from Case Western Reserve University.

Dena Scalise
Director of Business Development

As the Director of Business Development, Dena Scalise is responsible for developing strategic partnerships with new and existing clients, and works closely with CardinalCommerce’s Sales and Marketing teams.
Prior to joining CardinalCommerce, Miss Scalise spent more than 15 years in the Construction, Land Development and Real Estate industries where she held various senior project management and executive positions. During those years, she was awarded various accolades, including the Builder of Year Award.
Miss Scalise has served as a Board Member for the Latrobe Area Chamber of Commerce, the American Red Cross, the Unity Township Municipal Authority, and the Girl Scouts of America. She also was an active Committee Member of Adelphoi USA and the Builders Association of Metropolitan Pittsburgh.
Miss Scalise holds a B. A. degree from John Carroll University and has her PA Real Estate Broker License.

Charles R. Vojtas

Mr. Vojtas currently serves as the Vice President of Design and Development and is responsible for managing the ongoing development of Cardinal’s product suite including: Cardinal Centinel®, the worldwide leading technology which enables over 25 eCommerce payment brands through one integration; Cardinal MAX™, the mobile platform allowing merchants to expand into mobile commerce, banking, marketing, and payments; and 2IDENTIFI&trade, authentication solutions for financial institutions.
Prior to his role at CardinalCommerce, Mr. Vojtas held key positions including Manager of Corporate Development and Director, Development at Footlocker.com/Eastbay. His experience within the eCommerce retail world in design and development, quality control, mobile commerce implementations and overall eCommerce strategy allow him to bring his expertise to CardinalCommerce and its merchants.
